Whether you built a Chrome extension, Shopify app, CLI utility, or B2B SaaS that no longer fits your roadmap, Keelout turns your remaining user base into verified switcher bounties while handling user exports and NIST-certified database teardown.

  • No Source Code Handover: Keep your proprietary code and IP private. Never spend months answering buyer due-diligence questions about legacy dependencies.
  • 70% Rolling Payouts + 30% Holdback: Receive bi-weekly payouts as active users migrate, with the final 30% released automatically at T-Zero teardown.
  • Reputation & Domain Protection: Keep your domain or transfer it under strict Anti-Slop Covenants with a perpetual 60-day $0 Right of First Refusal.

02 // Structural Failure Analysis

Why traditional marketplaces fail below $500k ARR

Conventional M&A brokers treat a $150k ARR utility like a scaled enterprise buyout—forcing legal bloat, code audits, and valuation standoffs while active users quietly churn away.

FAILURE MODE 01 Technical Liability

Nobody Wants the Code

Acquirers don't want legacy technical debt, unpatched frameworks, or messy repos. They only want the users and the domain. Forcing a buyer to inherit your server stack kills 80% of micro-exits in diligence.

Keelout Resolution: Decouple the customer cohort and domain equity from the underlying source repository.
FAILURE MODE 02 Illiquid Standoff

Valuation Gridlock

Traditional brokers anchor on unrealistic multiples while apps quietly rot and churn to zero. Maintainers stay trapped paying hosting bills for an app they no longer have the energy to market.

Keelout Resolution: Performance-backed switcher bounties convert active usage directly into rolling cash disbursements.
FAILURE MODE 03 Trust Erosion

Reputational Blight

Abandoning an app burns your community; selling blindly risks your domain being turned into spam and SEO slop with your name still attached in historic commits and launch posts.

Keelout Resolution: 60–90 day dignified user offboarding paired with legally enforceable Anti-Slop Domain Covenants.

03 // Bilateral Specification

Value proposition by audience

Every Keelout transaction is structured as a symmetric protocol: zero-rewrite offboarding and certified teardown for the seller, paired with verified, compliant switcher ingestion for the buyer.

The Keelout Trust Covenants

Every exit agreement is governed by three non-negotiable covenants engineered to protect user privacy, maintainer reputation, and domain integrity in perpetuity.

COVENANT I · DATA SANITIZATION

NIST SP 800-88 Rev. 1 Sanitization

We issue cryptographically signed teardown certificates verifying database purging and snapshot deletion across primary volumes, read replicas, and automated cloud backups at T-Zero.

COVENANT II · DOMAIN STEWARDSHIP

Anti-Slop Domain Covenant

Transferred domains are legally restricted to branded transition microsites and permanent 301 redirects. They are never auctioned to AI blog farms, adult networks, or affiliate spam.

COVENANT III · FOUNDER RECLAMATION

60-Day Right of First Refusal (ROFR)

If an acquirer ever chooses not to renew the domain, the original founder has 60 days to reclaim it for $0 before it expires—ensuring your past work never falls into drop-catchers' hands.

Frequently asked questions

Clear answers on intellectual property, GDPR data portability, payout escrow, and domain covenants.

Do I have to hand over my GitHub repository or source code?

No. Keelout never requires source code transfer. You retain 100% ownership of your codebase, proprietary algorithms, and git history. Acquirers on Keelout are purchasing verified user migrations and optional domain stewardship—not your technical liabilities.

How does the 70% rolling / 30% completion holdback work?

As users migrate via the dynamic edge bridge (cdn.keelout.com/v1/bridge.js), 70% of earned switcher bounties disburse on a rolling bi-weekly schedule. The remaining 30% is held in escrow and released automatically at T-Zero once final exports conclude and the NIST SP 800-88 sanitization certificate is countersigned.

How is user privacy protected under GDPR and CCPA?

During diligence, buyers only inspect synthetic schema fixtures—zero raw PII is shared. During the 60–90 day transition window, users are presented with a transparent GDPR Article 13 notice and must explicitly consent to migrate their workspace to the acquiring platform, or they can download a self-contained archive and opt out of migration entirely.

What happens if the buyer stops using my domain in the future?

Every domain transfer includes our Anti-Slop Covenant and a 60-day Right of First Refusal (ROFR). The buyer may only use the domain for a 6-month transition microsite and permanent 301 redirects. If they ever elect not to renew registration, you are notified 60 days prior to expiration and may reclaim the domain for $0.
